BY-LAWS

ARTICLE 1.       DUTIES OF THE OFFICES AND BOARD OF DIRECTORS

  1.  The Board of directors shall direct the affairs of the organization.
  2. The duties of the Board of Directors shall be as follows:
  3.  PRESIDENT:  Shall preside at all meetings of the Guild; shall preside at the Board meetings; and shall direct the committees.
  4. VICE PRESIDENT:  Serves in the President’s absence, and will become the new President the following year.
  5. SECRETARY:  Will keep minutes and guild records, and handle correspondence.
  6. TREASURER:  Shall maintain accurate financial accounts, submit a monthly financial report to the Guild, and maintains list of paid members.
  7.  The duties of the committee chairmen are as follows:
  8.  PROGRAM:  Arrange programs and workshops for the benefit of members.
  9. MEMBERSHIP:  Maintain guild roster and encourage new members.
  10. PUBLICITY:  Direct public relations of the Guild and serve as historian.
  11. EXHIBITS:  Will direct all activities regarding member art exhibits, including but not limited to: site selection, arrange for juror, prizes, the reception, take-in, hanging, and take-down after the exhibits are concluded.

ARTICLE 2.       ELECTION OF OFFICERS

  1.  The President will appoint a nominating committee and submit a single slate of nominees at the April meeting.
  2. Elections shall be vocal unless there are nominations from the floor, in which case the election shall be by ballot.

ARTICLE 3.       RULES

  1.  Robert’s Rules of Order shall govern in all matters not covered by the Constitution and By-Laws.

ARTICLE 4.       MEMBERSHIP  (Active members)

  1. Members shall be required to attend at least 2 (two) regular meetings per year.
  2. Members shall be encouraged to exhibit at Guild sponsored art exhibits.
  3. Members exhibiting at all guild shows must comply with the following:
  4.  Must have attended at least 2 (two) regular meetings during the past 12 (twelve) months.
  5. Must pay the exhibit fees set by the Exhibit Chairman.
  6. Entries must have been created within the past 3 (three) years.
  7. Must be current on their membership dues.
  8.  Failure to comply with membership requirements will warrant dissolution of membership.
  9. Re-instatement of membership may be granted by the Board of Directors.

MEMBERSHIP  (Inactive members)

  1.  Associate members are those interested in the arts, but who do not actively produce, who would wish to attend meetings with no voting or attendance obligations.  They are required to pay membership dues.
  2. Patron members are individuals or businesses wishing to support the growth of visual arts in the Delaware area.

ARTICLE 5.       AMENDMENTS

  1.  These By-Laws may be amended by a two-thirds vote of the active members.
